Terms of Service

1. Introduction

Welcome to Soravo ("Soravo," "we," "us," or "our"). Soravo operates an online marketplace at soravo.ai (the "Platform") where AI commercial creators ("Creators") can publish and license their AI-generated commercial video content, and where brands and buyers ("Brands") can discover and license that content.

By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform. These Terms apply to all users — Creators, Brands, and visitors.

2. Eligibility

You must be at least 18 years old to create an account or use the Platform. By registering, you represent that you are 18 or older and that the information you provide is accurate and complete.

3. Creator Accounts — Uploading Content

Creators may upload AI-generated commercial video content to Soravo subject to the following:

• All uploaded content must be AI-generated or substantially AI-assisted. Creators must disclose which AI tools were used.
• You must have the right to upload and license any content you submit. You may not upload content that infringes the copyright, trademark, or other intellectual property rights of any third party.
• You retain full copyright ownership of your content. Uploading to Soravo does not transfer copyright to Soravo or to any Brand.
• By uploading, you grant Soravo a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content on the Platform for the purpose of operating the marketplace. This license ends when you remove your content from the Platform.
• Content must comply with Soravo's Content Policy (Section 6). Soravo reserves the right to reject or remove any content at its discretion.

4. Licensing — How It Works

Soravo facilitates licensing between Creators and Brands. Three license types are available:

• Royalty Free: The Brand pays a one-time fee and receives the right to use the content for the agreed channels and period. The Creator may license the same content to other Brands.
• Exclusive: The Brand pays a fee for exclusive usage rights for the agreed scope. The Creator removes the content from the marketplace and does not license it to any other Brand for the exclusivity period.
• Negotiable:Custom terms are agreed between the Creator and Brand. All negotiated terms must be documented through Soravo's platform before the license is considered executed.

Viewing a preview does not grant any license or usage rights. A license is only granted upon execution of a formal license agreement and, where applicable, payment. Unauthorized reproduction, distribution, or use of any preview or licensed content beyond the scope of the license is a violation of these Terms and applicable copyright law.

5. Creator Content Protection

Soravo employs technical measures to protect Creator content, including watermarked previews and access controls. These measures do not constitute a guarantee against unauthorized use. Creators are responsible for monitoring their own content.

Brands who access preview content agree that they will not reproduce, distribute, download, screen-record, or use preview content in any way without an executed license. Violation may result in account suspension and legal action.

6. Content Policy — Prohibited Content

The following content is strictly prohibited on Soravo and will result in immediate removal and may result in permanent account suspension:

• Pornographic or sexually explicit content
• Any content depicting, suggesting, or exploiting minors in a sexual or harmful context (zero tolerance — reported to authorities)
• Graphic violence, gore, or content glorifying harm
• Hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
• Content promoting terrorism or violent extremism
• Scam advertisements or content facilitating fraud
• Deepfakes — AI-generated depictions of real individuals without documented consent
• Fake celebrity or public figure endorsements without written authorization
• Copyright or trademark infringement — including unauthorized use of third-party music, footage, logos, or brand assets
• Political disinformation or content designed to manipulate democratic processes
• Content advertising illegal products or services

7. DMCA and Copyright

Soravo respects intellectual property rights. If you believe your copyrighted work has been used on Soravo without authorization, please submit a DMCA takedown notice to legal@soravo.ai with the required statutory information. Creators who receive valid takedown notices may submit a counter-notice within 14 days. Creators with three or more valid takedown notices may have their accounts permanently suspended.

8. Accounts and Security

You are responsible for maintaining the security of your account and password. Soravo is not liable for any loss or damage arising from unauthorized access to your account due to your failure to maintain account security. You must notify us immediately at hello@soravo.ai if you suspect unauthorized access.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. Soravo does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. Soravo is in an early pilot phase and functionality may change without notice.

10. Limitation of Liability

To the maximum extent permitted by law, Soravo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if Soravo has been advised of the possibility of such damages.

11. Changes to These Terms

Soravo reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users or by a prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
